Terms & Conditions

Please read these Terms and Conditions carefully before using MedikalHMS. These Terms govern your access to and use of our healthcare management platform and services. By using MedikalHMS, you acknowledge that you have read, understood, and agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using MedikalHMS ("the Platform"), you agree to be bound by these Terms and Conditions. If you are using the Platform on behalf of an organization (a healthcare facility, hospital, or clinic), you represent that you have the authority to bind that organization to these terms. If you do not agree, you may not access or use the Platform.

2. Description of Service

MedikalHMS is a cloud-based healthcare management system providing modules for patient registration, clinical workflows, billing, pharmacy management, laboratory, inventory, and reporting. We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time, with reasonable notice to active clients.

3. Account Registration and Security

To use MedikalHMS, your facility must register an account. You agree to: • Provide accurate, current, and complete information during registration • Maintain and promptly update your account information • Maintain the security and confidentiality of your login credentials • Notify us immediately of any unauthorized use of your account • Be responsible for all activities occurring under your account You may not share account credentials between multiple individuals. Each user must have their own unique login.

4. Subscription and Payment

Access to MedikalHMS is provided on a subscription basis. By subscribing, you agree to: • Pay all fees as described in your selected plan on time • Provide valid payment information and authorize recurring charges • Understand that subscription fees are non-refundable except as expressly stated • Acknowledge that we may suspend access for non-payment after reasonable notice Pricing is subject to change with at least 30 days written notice to active subscribers.

5. Acceptable Use

You agree to use MedikalHMS only for lawful purposes. You must not: • Use the Platform in violation of any applicable law or regulation • Enter false, misleading, or unauthorized data into the system • Attempt to gain unauthorized access to any part of the Platform or its related systems • Reverse-engineer, decompile, or attempt to extract source code • Resell, sublicense, or transfer your subscription without our written consent • Use the Platform to transmit malware, viruses, or other harmful code • Interfere with the security, integrity, or performance of the Platform

6. Data Ownership and Patient Data

All patient data entered into MedikalHMS remains the property of the healthcare facility. MedikalHMS acts as a data processor and will: • Only process patient data as instructed by the healthcare facility • Not access patient data except for support, maintenance, or as required by law • Return or delete patient data upon contract termination as specified in the Data Processing Agreement • Maintain appropriate security measures for all patient health information

7. Intellectual Property

MedikalHMS and all associated technology, software, content, and trademarks are the exclusive intellectual property of Medikal Technologies Ltd. These Terms do not grant you any right, title, or interest in the Platform other than a limited license to use it as described herein. You may not copy, modify, distribute, or create derivative works based on the Platform.

8. Uptime and Service Level

We target 99.9% monthly uptime for the MedikalHMS Platform, excluding scheduled maintenance windows (communicated at least 48 hours in advance) and events beyond our reasonable control. Detailed SLA terms are available in enterprise client agreements. Service credits for downtime exceeding the SLA are applied as described in individual service agreements.

9. Limitation of Liability

To the maximum extent permitted by law, MedikalHMS shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Platform. Our total liability for any claim arising from these Terms or your use of the Platform shall not exceed the amount you paid to us in the three (3) months preceding the claim. This limitation does not apply to gross negligence or willful misconduct by MedikalHMS.

10. Warranties and Disclaimers

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. We do not warrant that the Platform will be error-free, uninterrupted, or free of viruses or other harmful components. We do not provide medical advice, diagnosis, or treatment recommendations. Clinical decisions remain the sole responsibility of licensed healthcare professionals using the Platform.

11. Termination

Either party may terminate the subscription with 30 days written notice. We may terminate or suspend your access immediately if you violate these Terms or fail to pay applicable fees. Upon termination, your right to use the Platform ceases immediately. We will make your data available for export for 30 days following termination, after which it will be securely deleted.

12. Governing Law and Disputes

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes arising from these Terms shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in Lagos, Nigeria, under the rules of the Lagos Court of Arbitration. Either party may seek emergency injunctive relief from a court of competent jurisdiction.

13. Changes to Terms

We reserve the right to modify these Terms. For material changes, we will provide 30 days notice via email or in-platform notification. Continued use after the effective date of changes constitutes acceptance. If you do not agree with changes, you may terminate your subscription before they take effect.
